1. Acceptance of Terms

2. Services Provided

Aspirely Growth offers marketing and software services for local businesses, including but not limited to:

• Automated Google review generation, monitoring, and AI-powered response management
• Google Business Profile setup, optimization, and ongoing management
• Website design, development, and hosting
• Local SEO strategy, reporting, and consulting

We reserve the right to modify, suspend, or discontinue any portion of our services at any time, with or without notice. We will make reasonable efforts to notify active clients of material changes that affect their service.

3. Client Responsibilities

a. Account & Access

You may be required to create an account or grant us limited access to your business accounts (such as Google Business Profile, hosting, domain registrar, or CRM) to deliver the services you've engaged us for. You are responsible for keeping your credentials secure and notifying us of any unauthorized access.

b. Lawful Use

You agree to use our services in compliance with all applicable laws and regulations, including the CAN-SPAM Act, TCPA, CASL (for Canadian customers), and platform-specific terms of service for Google, Meta, and any other third-party platforms involved.

c. Accurate Information

The accuracy of our deliverables depends on the accuracy of the information you provide. You are responsible for ensuring the business information, customer contact lists, and content you submit to us are accurate, current, and that you have the legal right to share them.

d. Prohibited Conduct

You may not use our services to send unsolicited communications, generate fake reviews, impersonate customers, defame third parties, or infringe on the rights of any person or business. We reserve the right to suspend or terminate any engagement that violates these Terms or Google's review policies.

4. Fees, Payment & Refunds

Service fees, billing cycles, and deliverables are set out in your individual service agreement or proposal. Unless otherwise agreed in writing:

• Monthly recurring services are billed in advance and are non-refundable for the current month.
• One-time project fees (e.g., website builds) follow the milestone schedule in your proposal.
• You may cancel ongoing services at any time with 30 days' written notice.
• Late or failed payments may result in service suspension until the balance is resolved.

5. Intellectual Property

a. Our Property

All software, automations, dashboards, templates, branding, and proprietary materials we develop or license remain the property of Aspirely Growth or our licensors. You are granted a limited, non-exclusive, non-transferable license to use them for the duration of your active engagement.

b. Your Property

Content you provide to us — including logos, brand assets, photos, and customer data — remains your property. Upon full payment, finished website code and creative deliverables produced specifically for your project are licensed to you for ongoing use.

6. Third-Party Services

Our services rely on third-party platforms such as Google, Twilio, Stripe, and others. We are not responsible for outages, policy changes, or pricing changes by those providers, and your use of them is subject to their respective terms.

7. Disclaimers & Limitation of Liability

Our services are provided "as is" and "as available" without warranties of any kind, express or implied. While we work hard to grow your visibility and lead flow, we cannot guarantee specific search rankings, review counts, lead volumes, or revenue outcomes — these depend on many factors outside our control.

To the maximum extent permitted by law, Aspirely Growth, LLC and its members, employees, and contractors will not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use of our services. Our total liability for any claim is limited to the fees you paid us in the three (3) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Aspirely Growth, LLC, its members, employees, and contractors from any claims, damages, or expenses arising out of your use of our services, your violation of these Terms, or your infringement of any third-party rights.

9. Privacy

Your use of our website and services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

10. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or our services shall be resolved in the state or federal courts located in Jefferson County, New York.

11. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Continued use of our website or services after changes are posted constitutes your acceptance of the updated Terms.
